In brief, the liquidation process involves the following.
- The decision to liquidate is taken by the general meeting. NORMA offers guidance on the initial steps to be taken and the formalities needed.
- A liquidator is appointed to manage the liquidation, following legal guidelines to ensure a correct and efficient process. A thorough investigation of assets and liabilities is carried out to create a transparent picture of the company’s finances prior to the liquidation.
- The liquidator applies for a summons to unknown creditors, which is then issued by the Swedish Companies Registration Office, to clarify the company’s debt stock.
- Assets are sold to cover debts and the surplus is then distributed to the shareholders.
- The liquidator submits a final statement to the Companies Registration Office to finalise the liquidation. The company is then dissolved.
